2. Client Responsibilities

2.1 The Client agrees to provide Health Link SEO with access to their website, relevant analytics, and any other necessary information or resources required to perform the SEO services.

2.2 The Client is responsible for ensuring that all information provided to Health Link SEO is accurate, truthful, and does not infringe upon any third-party rights.

2.3 The Client acknowledges that Health Link SEO's ability to deliver services effectively may depend on timely communication, access to necessary resources, and cooperation from the Client.

3. Fees and Payment Terms

3.1 Fees for services provided by Health Link SEO will be outlined in the service agreement or proposal. Payment terms, including due dates and accepted payment methods, will also be specified therein.

3.2 Health Link SEO reserves the right to suspend services or terminate the agreement if payment is not received according to the agreed terms.

3.3 All fees are non-refundable once services have been rendered, except as expressly provided for in the service agreement or proposal.

4. Confidentiality

4.1 Health Link SEO agrees to keep confidential all proprietary and sensitive information provided by the Client, including but not limited to business strategies, customer data, and financial information.

4.2 The Client agrees to keep confidential any proprietary information provided by Health Link SEO, including methodologies, strategies, and pricing details.

5. Intellectual Property

5.1 Health Link SEO retains all rights to any intellectual property developed or used in the course of providing services, including but not limited to reports, strategies, and content created.

5.2 The Client may use deliverables provided by Health Link SEO solely for their internal business purposes and may not reproduce, distribute, or disclose such materials to third parties without prior written consent.

6. Termination

6.1 Either party may terminate the agreement upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within thirty (30) days of receiving written notice thereof.

6.2 Upon termination, the Client shall pay Health Link SEO for all services performed and expenses incurred up to the termination date.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, Health Link SEO shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits or business opportunities, arising out of or in connection with the services provided.

7.2 Health Link SEO's total liability for any claim arising under or in connection with the agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client to Health Link SEO under the agreement.

8. Amendments

8.1 Health Link SEO reserves the right to modify these terms and conditions at any time. Any changes will be effective immediately upon posting on the website. Continued use of the services after such changes constitutes acceptance of the modified terms and conditions.

9. Governing Law and Dispute Resolution

9.1 These terms and conditions shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.

9.2 Any dispute arising out of or in connection with these terms and conditions, including any question regarding its existence, validity, or termination, shall be resolved through arbitration administered by [Arbitration Organization] in accordance with its rules.
